Subsidiaries

A Subsidiary is an independent legal entity established by the Company to support its activities. It is managed independently, but remains under the Parent Company’s control. Garuda Indonesia’s subsidiaries include PT Aerowisata, PT Abacus DSI, PT Garuda Maintenance Facility Aero Asia and PT Lufthansa System Indonesia.

PT Aerowisata was established in Jakarta based on the Notary Deed by Soeleman Ardjasasmita, S.H., No.: 85 dated 30 June 1973. The Deed of Incorporation was approved by the Minister of Justice of the Republic of Indonesia through Decree No.Y.A.5/32/18 dated 2 February 1974. PT Aerowisata’s Articles of Association have been amended several times, the latest in Notary Deed Replacement by Siti Rayhana, SH dated 6 December 2005, concerning a change in the composition of shareholders of PT Aerowisata, domiciled in Jalan Prapatan No. 32, Central Jakarta.

PT Aerowisata offers services related to hospitality and tourism. It has a number of subsidiaries engaged in hotel, food services, land-transportation services, and tours & travel agencies. These subsidiaries include Hotel Development Corporation, PT Senggigi Pratama International, PT Angkasa Citra Sarana Catering Service, PT Mandira Erajasa Wahana, PT Biro Perjalanan Wisata Satriavi, Garuda Orient Holidays Pty. Ltd. and PT Aerojasa Perkasa.

PT Abacus Distribution Systems Indonesia (PT Abacus DSI) was established based on the approval of the Minister of Finance in Decree No. S-34/MK-016/93 dated 31 December 1993 and the Ministry of Communication in Decree No. B-487/Au.003/SK 7 dated 29 December 1993 with Notary Deed No.1 dated 1 March 1995 by Anna Sunarhadi, S.H., Notary Public in Jakarta, and lastly by Deed No. 2 dated 15 January 2001 by Suryati Moerwibowo and has received approval from the Minister of Justice and Human Rights in Decree No. C1466 HT.01.01 dated 28 February 2001 as well as announced in the State Gazette of the Republic of Indonesia No. 1231 dated 1 March 1996. The Deed of incorporation has been registered in the Registry Log of the District Court Office, Central Jakarta No. 1156 Year 1995. PT Abacus DSI bases its Head Office at Jl. Mampang Prapatan Raya No. 93, Jakarta with representative offices in Surabaya and Medan.

Its corporate vision is to become the leading Global Distribution Systems (GDS) and communication and information technology service provider in Indonesia. The company’s scope of activities covers computerized reservation system services, lease of computer equipments to travel agencies, providing employee-training facilities for travel agencies and providing technical assistance in computerized reservation systems (CRS) for travel agencies.

PT Garuda Maintenance Facility Aero Asia (GMFAA) was incorporated based on the Notary Deed No.93 dated 26 April 2002 by Arry Supratno, S.H., Notary Public in Jakarta, legalized by the Minister of Justice and Human Rights RI in Decree No.C-11688.H.T.01.01. dated 25 June 2002 and was recorded in the Supplement to the State Gazette RI No. 78 on 27 September 2002. In 2003, issued and paid capital consists of 665,600 shares, totaling in 166.4 billion IDR. 99% of the shares are owned by PT Garuda Indonesia (Persero) and 1% is owned by PT Aerowisata.

The Company was established to implement and support the Indonesian government’s economic and national development policies, particularly in the field of aircraft maintenance and repair services as well as other businesses related to aircraft maintenance, repair services and to generate profit for the Company through aircraft maintenance and repair services including engines and components.

PT Lufthansa Systems Indonesia, based in Jakarta, was established based on Deed No.7 dated 9 June 2005 by Notary Public Adrian Djuaini, S.H. The Deed of Incorporation was legalized by the Minister of Justice and Human Rights of the Republic of Indonesia in Decree No. C-21017 HT.01.01. dated 29 July 2005 and recorded in the State Gazette of the Republic of Indonesia No. 66 Supplement No. 8827 dated 19 August 2005. The company’s shares are owned by PT Garuda Indonesia (Persero) in the amount of 3,369,695 shares (51%) and Lufthansa System Group GmbH in the amount of 2,276,765 shares (49%). Based on Article 23 of the Articles of Association of PT Lufthansa Systems Indonesia, its scope of activities covers services in consultation and re-engineering of information technology systems as well as maintenance for aviation companies and other industries. PT Lufthansa Systems Indonesia started its commercial operations on 9 June 2005.
